Terms & Conditions

The rules for using UbiniOS, written to be read. If anything here is unclear, ask us before you sign up.

Last updated 8 September 2026

1. The agreement

These Terms & Conditions (the “Terms”) are a binding agreement between ConfluenceBits (“we”, “us”) and the business that creates a UbiniOS account (“you”, the “Customer”). They cover the UbiniOS platform, its products (UbiniPeople, UbiniPayroll, UbiniOperations, UbiniPOS and UbiniBooks), this website and the free tools on it.

By creating an account, or by using the platform on behalf of a business, you confirm that you are authorised to bind that business and that you accept these Terms and our Privacy Policy. If you do not agree, do not use the platform.

2. Accounts and users

The account owner is responsible for everything done under their Business, including by the staff, accountants and administrators they invite. You must keep sign-in details confidential, use accurate business information, and tell us promptly at support@confluencebits.com if you suspect unauthorised access.

You control which of your users can see or change which records through the roles and permissions in the platform. We act on instructions from authorised users of your Business and are entitled to rely on them.

3. Subscription and billing

UbiniOS is sold as one plan that includes every product. The price is ₦3,499 per employee per 30-day billing period, billed up front from the number of people with a current employment record in your Business at the start of the period. Changes to your headcount take effect in the next period. There is no implementation or setup fee.

  • Payment. Invoices are settled through our payment provider, Paystack. Card details are collected and tokenised by Paystack and are never stored by us.
  • Late or failed payment. If a payment fails you keep full access for a 14-day grace period while we retry and notify you. After that we may restrict access until the invoice is settled. Your data is not deleted while access is restricted.
  • Cancellation. You may cancel at any time from your billing settings. Cancellation takes effect at the end of the current paid period, and periods already billed are not refunded.
  • Price changes. We will give at least 30 days’ notice by email before a price change applies to your Business.

All prices are in Nigerian Naira and exclude applicable taxes unless stated otherwise.

4. Your data

Everything you enter into the platform (employee records, payroll, sales, stock, customers, suppliers and accounting entries) is Customer Data. You own it. You grant us only the rights needed to host it, process it, back it up and show it to the users you authorise.

You are responsible for having a lawful basis to collect the personal data you put into the platform, including your employees’ and customers’ data, and for the accuracy of what you enter. We process Customer Data as a data processor on your instructions, as described in our Privacy Policy.

You can download reports and records from the platform at any time, and you can ask us for a full copy of your Customer Data in a common machine-readable format. After cancellation we keep your data for 90 days so you can reactivate or request a copy, then delete it from live systems, except where the law requires us to keep records for longer.

5. Acceptable use

You agree not to:

  • use the platform for anything unlawful, including fraud, money laundering or evading tax;
  • upload malicious code, or attempt to probe, disrupt or gain unauthorised access to the platform or other customers’ data;
  • resell, sublicense or provide the platform to third parties as a service, or copy its design and content;
  • use automated means to scrape or overload the platform beyond normal use of the interface and documented integrations.

We may suspend a Business that breaches this section. Where practical we will warn you first and give you a chance to fix the problem.

6. Payroll, tax and statutory calculations

The platform calculates PAYE, pension, NHF, NHIS and similar amounts using the rules published by the relevant Nigerian authorities, and the free calculators on this website do the same. These calculations are a tool to help you, not tax or legal advice. You remain responsible for reviewing the figures, filing returns and paying the authorities on time.

Salary disbursement is bank-file based: the platform prepares the payment instruction, and payment is made when you submit it to your bank. We do not hold or move your money.

7. Availability and support

We aim to keep the platform available around the clock and to keep planned maintenance short and outside Nigerian business hours where possible. We do not promise uninterrupted service. Support is included in your subscription and is provided by email at support@confluencebits.com.

We back up Customer Data regularly and use industry-standard safeguards described in our Privacy Policy.

8. Intellectual property

The platform, this website, the UbiniOS name, product names and logos belong to ConfluenceBits and its licensors. You receive a limited, non-exclusive, non-transferable right to use the platform for your own business during your subscription. Feedback you give us may be used to improve the platform without obligation to you.

9. Confidentiality

Each of us will keep the other’s non-public information confidential and use it only to perform this agreement. This does not cover information that is already public, was known before disclosure, or must be disclosed by law, in which case the disclosing party will be told where the law allows.

10. Termination

You may end this agreement by cancelling your subscription. We may end it, on written notice, if you materially breach these Terms and do not fix the breach within 14 days of being told, or immediately for serious misuse, illegality or non-payment lasting more than 30 days.

On termination your right to use the platform ends. The data-retention period in section 4 applies, and any sections that by their nature should survive (data, intellectual property, confidentiality, liability, governing law) continue to apply.

11. Warranties and liability

The platform is provided “as is”. Except as expressly stated in these Terms, we make no other warranties, including about fitness for a particular purpose or that the platform will be error-free.

To the fullest extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, loss of business or loss of data caused by events outside our reasonable control. Our total liability to you under this agreement in any 12-month period is limited to the subscription fees you paid us in that period. Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or anything else that cannot be limited by law.

You will indemnify us against claims arising from Customer Data you upload, your breach of these Terms, or your use of the platform in violation of the law.

12. Changes to these Terms

We may update these Terms as the platform evolves. For material changes we will email the account owner at least 14 days before they take effect. Continuing to use the platform after that date means you accept the updated Terms. The current version is always at https://ubinios.com/terms.

13. Governing law and contact

These Terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Nigeria have exclusive jurisdiction over any dispute. Before going to court, both parties agree to try in good faith to resolve the dispute by discussion for 30 days.
